Meta Platforms Inc. has turned to equity markets to fund its AI buildout, with announced and proposed offerings totaling approximately $97.5 billion and a path above $100 billion. Existing shareholders face potential cumulative dilution approaching 6%, while a new no-vote share class preserves Mark Zuckerberg’s voting control.
Meta has become the latest AI hyperscaler to turn to equity offerings for an AI buildout. The financing breaks into a priced Class A common-stock sale, a priced mandatory convertible preferred issue and a proposed Class C common-stock program.
- Meta priced $25 billion of Class A common stock at $625 per share, covering 40 million shares. With about 2.56 billion shares outstanding beforehand, settlement would dilute existing holders by around 1.5%.
- The company also priced $12.5 billion of mandatory convertible preferred stock. Those shares would add dilution when converted, with the final effect depending on their conversion price.
- Meta plans to offer up to $60 billion of Class C common stock. If it used the full program, MarketBeat estimates about 3.6% dilution, assuming the company’s valuation remains unchanged.
Meta first plans to distribute one Class C share for every outstanding Class A and Class B share as a stock dividend rather than a cash payment. That distribution leaves investors’ overall ownership percentage unchanged. The subsequent public sale of Class C stock, unlike the dividend, would dilute ownership.
The three announced and proposed tranches total approximately $97.5 billion and could produce cumulative shareholder dilution approaching 6%. Underwriters’ over-allotment options could lift proceeds above $100 billion, giving Meta more cash while increasing dilution. Future offering prices and preferred conversion prices could also change the final percentage.
At $625 per share, Meta’s market capitalization would be around $1.6 trillion before these offerings, establishing the valuation from which the source calculates dilution.
How does Class C preserve Zuckerberg’s control?
At the beginning of October, Zuckerberg held approximately 60.6% of Meta’s voting power, comfortably above the 50% threshold required for majority control. Class C shares carry no voting rights, so Meta can sell them for capital without reducing his voting percentage.
The structure gives Meta room to pursue substantial equity financing while Zuckerberg retains control of shareholder decisions. It also separates voting power from economic ownership: investors can receive more shares without receiving a proportional increase in votes.
Can investor demand fund Meta’s AI buildout?
Meta’s $25 billion Class A offering was reportedly five times oversubscribed, meaning investors’ orders were roughly five times the offering’s size. The mandatory convertible preferred offering also attracted multiple-times oversubscription, providing evidence of strong current demand for Meta shares.
Those results suggest Meta can access more equity capital and may support demand for the proposed Class C program. They do not guarantee similar results for future offerings, particularly if investors become less confident in Meta’s AI strategy or its prospective returns.
Two designated cornerstone investors have disclosed commitments: NVIDIA plans to invest $3 billion, while Advanced Micro Devices has committed $1 billion. Broadcom, the third designated cornerstone investor, has not publicly confirmed whether it will participate.
Strong demand could help Meta finance further increases in AI capital expenditure. The company has raised its capital spending each year, and analysts expect spending to rise significantly next year, although the source provides no dollar estimate. Future equity demand could weaken if confidence in those investments fades.
What do Meta’s market metrics show?
MarketBeat’s November 8, 2026 price chart showed Meta at $610.15, up 0.8%, with a 52-week range of $520.26 to $779.82, a 0.34% dividend yield and a 20.80 P/E ratio. The service assigned Meta a 4.9687-out-of-5 MarketRank and a Moderate Buy consensus.
The published consensus target was $833.12, implying 36.54% upside from $610.15, with a $1,000 high forecast and a $650 low forecast. That target came from 57 analyst ratings; it remains an estimate rather than a committed share price.
MarketBeat separately said Meta did not appear among five stocks it expected top-rated analysts to recommend by December 1. Its broader promotional report covered seven stocks and cited Tesla, Nvidia and Google as having shaped the previous era of market growth.
Will the AI spending offset the dilution?
Potential dilution near 6% would be meaningful for existing shareholders, but its ultimate effect depends on the returns generated from the capital raised. MarketBeat wrote that Meta “has now opened the door to issuing equity to fund its AI CapEx.”
Investors will want Meta’s AI initiatives to contribute to, rather than detract from, free cash flow. Going forward, the size and price of future equity sales will determine how much additional dilution Meta accepts, while AI-driven free cash flow will show whether the capital strategy earns its cost.
