ON Semiconductor will pay cash, not stock, to acquire Synaptics under a downsized agreement, according to a Wall Street Journal report — a material change to one of the more closely watched consolidation plays in analog and mixed-signal semiconductors.
The revision to an all-cash structure ends the earlier equity-based construction, and the word "downsized" attached to the deal signals that Synaptics shareholders will receive less than the terms contemplated when the transaction was first negotiated. The WSJ did not disclose the revised per-share price or total consideration in the report available to Chip Dispatch.
For ON Semiconductor — the Phoenix-based supplier of power management, silicon carbide and image-sensing chips — the pivot from stock to cash removes the dilution that equity consideration would have imposed on existing shareholders.
