Sivers Semiconductors AB (Nasdaq First North: SIVE) has convened an extraordinary general meeting to vote on two items: replacing the company's auditor and launching an employee option program equal to 2% of outstanding shares, as reported by TradingView.
The Swedish semiconductor group, which develops photonics chips through its business units, has put both decisions directly in shareholders' hands at the upcoming EGM. The auditor replacement marks a governance change rather than an operational one, but such moves often signal a shift in audit relationship as a company scales or restructures its reporting needs.
The proposed option plan would allocate roughly 2% of the company's share capital to employee incentives. For a small-cap semiconductor developer competing for specialized RF and photonics engineering talent, retention instruments of this size are a standard tool — but the dilution and the vesting terms will be the details shareholders scrutinize when the meeting convenes.
Neither the identity of the incoming auditor, the specific EGM date, nor the vesting conditions of the option program appear in the initial report, leaving investors to await the formal notice to shareholders for those specifics.
Swedish listed companies typically set out such proposals in a full EGM notice with agenda items, record dates and voting thresholds. Until Sivers publishes that document, the 2% figure stands as the single confirmed parameter of the incentive plan.
The votes themselves will determine whether both measures proceed as proposed.
